Governor; Dear sir;

I learned from Mr Harrison a member of the Lower House, that an amendment to the Southern Mercantile Company bill had passed both houses and had gone to you tobe signed. This is the first intimation that any of the incorporators had of it, and they are not a little surprised, tofind this done—It was expected this company ^to be^ a [proudly?] Mississippi institution, but under the Amendment, it would look as if it were more for the benefit of New Orleans. This has been done against the known views of a majority of the incorporators, buthow I am not able to say. Of the precise nature of the Amend-ment I am not fully advised. If you have not already approved the Amendment

I would most respectfully ask that you hold your approval in obeyance, if you have not already done so, until you have an expression of the incorporators, after they shall be ~~more~~ ^better^ acquainted with the provisions of the amendment.

Col T C. Norvell leaves this evening for Miss toopen thebooks of thecompany, tosolicit and toreceive subscriptions in behalf of the company. He will undoubted-ly call on you, and will speak toyou more particularly on the subject of this letter.
